OperisPM — Cloud-Based Project Management
OperisPM is a DBA of ProgTrack, LLC.
These Terms of Service ("Terms") govern access to and use of the OperisPM platform and related services (collectively, the "Service") operated by OperisPM ("OperisPM," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms, our Privacy Policy, and our Cookie Policy.
OperisPM is offered without charge. There is no subscription, no required payment information, no trial period, and no automatic conversion to a paid plan. We do not currently process payments and do not require a billing relationship with you.
Service features, usage limits, and account capabilities may evolve as we develop the product. We may add, remove, or modify features at our discretion.
If OperisPM transitions to a paid model in the future, registered users will receive at least 30 days' advance notice and the option to delete their account before any paid terms apply. You will not be charged automatically; any paid relationship will require your affirmative acceptance of new billing terms.
You may use the Service only if you can form a binding contract with OperisPM and are not barred from doing so under applicable law. You must be at least 18 years old, or the age of legal majority where you live, to create or administer an account. Team members invited into an existing workspace may use the Service only under the authority of the applicable account owner.
You must provide accurate, current information when registering and keep it updated. You must maintain the confidentiality of your account credentials and promptly notify us at [email protected] of any suspected unauthorized access. You are responsible for actions taken under your account.
You retain all right, title, and interest in the data, files, and content you submit to the Service ("Customer Data"). You grant OperisPM a limited license to host, copy, transmit, and process Customer Data only as necessary to provide and secure the Service and to comply with law. Our handling of personal data is described in the Privacy Policy.
You represent that you have all rights and permissions necessary for the Customer Data you submit. If your Customer Data contains personal data subject to GDPR, UK GDPR, or similar laws, you are responsible for ensuring you have a lawful basis for that processing.
You may use the Service only for lawful business and organizational purposes. You must not:
We may suspend or terminate access where we reasonably believe misuse, abuse, or security risk exists.
OperisPM includes optional AI-assisted features that process content you choose to submit (for example, the meeting-notes-to-tasks feature). When you use these features, the content you submit may be sent to our third-party AI providers solely for the purpose of generating the requested output. Submitted content is not used to train AI models. AI feature usage is subject to monthly per-account limits, which may change without notice. Do not submit confidential, sensitive, or regulated data to AI features.
We aim to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service or any feature at any time. We may release updates that change behavior, fix issues, or add functionality.
You may stop using the Service or delete your account at any time. We may suspend or terminate your access for material breach of these Terms, suspected fraud or abuse, or to comply with law. On termination, your access ends and we may delete or anonymize your Customer Data on a reasonable schedule consistent with our backup and retention practices.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROGTRACK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. BECAUSE THE SERVICE IS PROVIDED FREE OF CHARGE DURING THIS PERIOD, OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute will be the state and federal courts located in Travis County, Texas, except where applicable consumer-protection law of your jurisdiction requires otherwise.
We may update these Terms from time to time. For material changes, including any future introduction of paid plans (as described in Section 1), we will give registered users at least 30 days' notice. Continued use of the Service after the effective date of an update constitutes acceptance.
